제1조 (목적)

본 약관은 주식회사 바이아랩스(이하 “회사”)가 제공하는 AI 기반 컨텍스트 저장형 실시간 동시통역 서비스 ‘프리터(preter)'(이하 “서비스”)의 이용과 관련하여 회사와 회원 간의 권리, 의무, 책임사항 및 요금제 이용에 관한 조건들을 규정함을 목적으로 합니다.

제2조 (용어의 정의)

본 약관에서 사용하는 용어의 정의는 다음과 같습니다.

1. 프리터(preter) 서비스: 회사가 개발하여 제공하는 비즈니스 미팅용 실시간 동시통역 플랫폼으로, 회원이 업로드한 문서 자료를 학습하여 맞춤형 통역을 제공하는 ‘컨텍스트 러닝’, 사용자 음성 톤을 반영하는 ‘어댑티브 보이스’, ‘자동 미팅 요약’ 등의 기능을 포함한 서비스를 말합니다.
2. AI 통역: 사용자가 발화하는 음성을 인식하여 지연과 끕김 없이 Voice to Voice 방식으로 상대방이 설정한 언어로 실시간 변환 및 오디오를 출력해 주는 프리터의 핵심 인공지능 기술 서비스를 의미합니다.
3. 미팅룸: QR코드 또는 보안 링크로 초대된 참가자만 입장하여 통역 서비스를 이용할 수 있도록 플랫폼 내에 개설되는 암호화된 가상의 프라이빗 소통 공간을 의미합니다.
4. 미팅자료: AI에게 비즈니스 맥락을 학습시키기 위해 회원이 미팅 전 또는 미팅 중에 업로드하는 회사 소개서, 제품 단가표, 프레젠테이션 파일(PDF, PPT, Excel 등) 등의 디지털 문서 데이터를 말합니다.
5. 컨텍스트 러닝(자료 학습): 미팅자료를 플랫폼에 업로드하여 AI가 기업 고유명사, 제품명, 업계 전문용어 및 비즈니스 맥락을 사전 학습하도록 하는 기술적 기능입니다.
6. 어댑티브 보이스: 기계음이 아닌 실제 사용자의 목소리 톤과 유사한 자연스러운 음성으로 통역을 실행하는 기능을 말합니다.
7. 회원: 본 약관에 동의하고 회사에 개인정보를 제공하여 회원등록을 완료한 자로서, 회사의 서비스를 지속적으로 이용할 수 있는 자를 의미합니다.
8. 유료 서비스: 서비스 내에서 결제 후 이용할 수 있는 특정 요금제(PRO 플랜 등) 및 부가 기능을 의미합니다.

제3조 (약관의 효력 및 변경)

1. 본 약관은 회원이 이에 동의하고 서비스를 이용하거나, 유료 요금제를 결제함과 동시에 효력이 발생합니다.
2. 회사는 관련 법령을 위배하지 않는 범위 내에서 약관을 변경할 수 있으며, 변경 시 사유와 적용일자를 명시하여 최소 7일 전(회원에게 불리하거나 중대한 사항은 30일 전)에 서비스 내 공지사항을 통해 고지합니다.

제4조 (서비스의 내용 및 특징)

회사는 회원에게 다음과 같은 프리터 핵심 기능을 요금제 정책에 따라 제공합니다.

• 실시간 동시통역: Voice to Voice 지연 없이 끕김 없는 현장 미팅 흐름을 유지합니다.
• 전세계 100개국 소통: 영어, 중국어, 한국어, 일본어의 4개 언어를 집중 지원하며 총 100개국 클라이언트와의 소통 환경을 지원합니다.
• 프라이빗 미팅룸: QR코드 또는 초대 링크를 통해서만 입장할 수 있는 보안 미팅룸을 제공합니다.
• 그룹 인터프리팅: 1:1 미팅 및 다대다 그룹 미팅에서도 각자 설정한 언어로 실시간 통역이 이루어집니다.

제5조 (이용요금 결제 및 정기구독)

1. PRO 플랜 등 유료 서비스 이용요금은 회사가 정한 결제수단을 통해 매월 정기적으로 결제(구독)됩니다.
2. 정기결제 해지를 원할 경우 다음 정기 결제 주기 도래 전 마이페이지를 통해 해지를 신청해야 하며, 신청 시 다음 결제일부터 요금이 청구되지 않습니다.

제6조 (청약철회 및 환불 정책)

1. 미사용 상품: 유료 결제 후 미팅룸 개설, 통역 서비스 이용, 컨텍스트 자료 학습 등 서비스 이용 이력이 전혀 없는 상태에서 결제일로부터 7일 이내에 청약철회를 요청하는 경우 전액 환불합니다.
2. 일부 사용 후 환불: 제공된 통역 시간 또는 요약 기능을 일부 사용한 후 환불을 요청하는 경우, 회사의 이용 실적 산정 기준에 따라 차감 후 잔여 금액의 90%를 반환합니다.

제7조 (이용 제한 및 면책 조항)

1. 회사는 크롤링, 해킹, 시스템 악용 등을 통해 프리터의 AI 엔진 로직을 무단 도용하거나 방해하는 회원의 경우 사전 통지 없이 계정을 정지할 수 있습니다.
2. 프리터 서비스 내 AI 엔진이 생성한 실시간 통역 결과, 문서 학습 결과, 자동 요약 및 액션아이템은 기술적 특성상 100%의 정확성을 보장하지 않습니다. 회사는 비즈니스 오번역으로 인해 발생한 간접 손해에 대해 책임을 지지 않으므로, 중대 계약 시에는 회원이 이를 참고 자료로 검토해야 합니다.

제8조 (회원의 의무)

1. 회원은 서비스 이용 시 다음 각 호의 행위를 해서는 안 됩니다.
   • 타인 명의 사용 또는 정보 도용
   • 불법 콘텐츠 업로드 또는 유포
   • 서비스 기능의 악용 및 시스템에 대한 공격 시도
   • 기타 공서양속에 반하는 행위
2. 회원은 사업자의 정책, 관련 법령, 공지사항을 준수하여야 하며, 위반 시 서비스 이용이 제한될 수 있습니다.

제9조 (서비스 이용 제한)

1. 회원이 본 약관을 위반하거나 불법 행위를 할 경우, 사업자는 이용을 경고, 일시정지, 영구정지 등으로 제한할 수 있습니다.
2. 일정 기간 비활성화된 계정은 사전 고지 후 탈퇴 처리될 수 있습니다.

제10조 (계약 해지)

회원은 언제든지 서비스 내 설정을 통해 회원 탈퇴를 요청할 수 있으며, 사업자는 지체 없이 이를 처리합니다.

제11조 (면책조항)

1. 사업자는 천재지변, 시스템 오류 등 불가항력 사유로 인한 서비스 중단에 책임지지 않습니다.
2. 회원 간 또는 회원과 제3자 간의 분쟁에 대해 사업자는 개입하지 않으며 책임지지 않습니다.
3. 프리터 서비스 내 AI 엔진이 생성한 통역, 문서 학습, 자동 요약 정보의 정확성은 기술적 한계 내에서 참고용으로만 제공되므로 사업자는 결과물의 오차로 인한 비즈니스 손해를 지지 않습니다.

제12조 (관할법원 및 준거법)

본 약관 및 서비스 이용과 관련한 분쟁은 대한민국 법률에 따르며, 분쟁 발생 시 관할 법원은 민사소송법에 따른다.

Terms of Service (English Translation)

Effective Date: June 1, 2026

Article 1 (Purpose)

The purpose of these Terms of Service is to regulate the rights, obligations, responsibilities of Vaialabs Co., Ltd. (hereinafter referred to as the “Company”) and its members, as well as the conditions for using pricing plans in connection with the use of ‘preter’ (hereinafter referred to as the “Service”), an AI-based context-aware real-time simultaneous interpretation service provided by the Company.

Article 2 (Definition of Terms)

The definitions of terms used in these Terms of Service are as follows:

1. preter Service: Refers to the real-time simultaneous interpretation platform for business meetings developed and provided by the Company. It includes features such as ‘Context Learning’ which provides customized interpretation by learning document materials uploaded by members, ‘Adaptive Voice’ which reflects the user’s voice tone, and ‘Automatic Meeting Summary’.
2. AI Interpretation: Refers to the core artificial intelligence technology service of preter that recognizes speech uttered by a user, instantly converts it into the language set by the counterpart in a Voice-to-Voice format without delay or disconnection, and outputs the audio.
3. Meeting Room: Refers to an encrypted virtual private communication space opened within the platform so that only participants invited via a QR code or secure link can enter and use the interpretation service.
4. Meeting Materials: Refers to digital document data such as company profiles, product price lists, and presentation files (PDF, PPT, Excel, etc.) uploaded by a member before or during a meeting to train the AI on the business context.
5. Context Learning (Material Learning): A technical feature that allows the AI to pre-learn corporate proper nouns, product names, industry terminology, and business contexts by uploading meeting materials to the platform.
6. Adaptive Voice: Refers to a feature that executes interpretation using a natural voice similar to the actual user’s voice tone rather than a mechanical robotic voice.
7. Member: Refers to a person who has agreed to these Terms of Service, provided personal information to the Company, completed member registration, and is entitled to continuously use the Company’s services.
8. Paid Service: Refers to a specific pricing plan (such as the PRO plan) and additional features that can be used after making a payment within the service.

Article 3 (Effect and Modification of Terms)

1. These Terms of Service shall become effective upon the member’s agreement to them and subsequent use of the service or payment for a paid subscription plan.
2. The Company may modify these Terms of Service within a scope that does not violate relevant laws and regulations. In the event of modification, the Company shall notify members through the in-service notice board at least 7 days prior to the effective date (30 days prior if the changes are disadvantageous or material to members), specifying the reasons and the effective date.

Article 4 (Contents and Features of the Service)

The Company provides members with the following core features of preter in accordance with the pricing plan policy:

• Real-time Simultaneous Interpretation: Maintains a seamless on-site meeting flow without Voice-to-Voice delays or disconnections.
• Global Communication across 100 Countries: Focuses on intensively supporting 4 major languages (English, Chinese, Korean, Japanese) and facilitates a communication environment with clients from a total of 100 countries.
• Private Meeting Room: Provides a secure meeting room that can only be entered through a QR code or an invitation link.
• Group Interpreting: Enables real-time interpretation in 1:1 meetings as well as many-to-many group meetings in the language designated by each participant.

Article 5 (Payment of Fees and Regular Subscription)

1. Fees for paid services, such as the PRO plan, are billed and paid on a regular monthly subscription basis through the payment method designated by the Company.
2. If a member wishes to cancel the recurring automatic payment, they must apply for cancellation through ‘My Page’ before the next regular billing cycle. Upon application, no fees will be charged from the following billing date.

Article 6 (Subscription Withdrawal and Refund Policy)

1. Unused Products: If a member requests subscription withdrawal within 7 days from the payment date without any service usage history—such as creating a meeting room, using the interpretation service, or executing context material learning—a full refund will be processed.
2. Refund After Partial Use: If a member requests a refund after partially using the provided interpretation time or summary features, 90% of the remaining balance will be returned after deducting the used portion based on the Company’s service usage calculation criteria.

Article 7 (Service Use Restrictions and Disclaimers)

1. The Company may suspend a member’s account without prior notice if the member unauthorizedly steals or disrupts preter’s AI engine logic through scraping, hacking, system abuse, or similar activities.
2. The real-time interpretation results, document learning outcomes, automatic summaries, and action items generated by the AI engine within the preter service do not guarantee 100% accuracy due to technical characteristics. The Company is not held liable for indirect damages caused by business misinterpretations; therefore, members must review them as reference materials during critical contractual decisions.

Article 8 (Obligations of Members)

1. Members shall not engage in any of the following activities when using the service:
   • Using another person’s name or stealing information.
   • Uploading or distributing illegal content.
   • Abusing service features or attempting to attack the system.
   • Any other acts contrary to public order and good morals.
2. Members must comply with the Company’s policies, relevant laws, and service announcements. Violation of these may result in restrictions on service usage.

Article 9 (Service Use Restrictions)

1. If a member violates these Terms of Service or engages in illegal activities, the Company may restrict usage through warnings, temporary suspension, permanent suspension, or other means.
2. Accounts that remain inactive for a certain period may be subjected to termination and membership deletion after prior notification.

Article 10 (Contract Termination)

Members may request membership withdrawal at any time through the in-service settings, and the Company shall process it without delay.

Article 11 (Disclaimers / Limitation of Liability)

1. The Company shall not be held liable for any service interruptions caused by force majeure events, including natural disasters, system errors, or critical network failures.
2. The Company does not intervene in and is not responsible for any disputes arising between members or between a member and a third party.
3. The accuracy of interpretation, document learning, and automatic summary information generated by the AI engine within the preter service is provided for reference purposes only within technical limitations. Accordingly, the Company bears no liability for business losses resulting from discrepancies in the outputs.

Article 12 (Jurisdiction and Governing Law)

These Terms of Service and any disputes related to the use of the service shall be governed by and construed in accordance with the laws of the Republic of Korea. In the event of a dispute, the competent court shall be determined pursuant to the Civil Procedure Act.
